Terms of Service

These Terms of Service ("Terms") form a binding agreement between you (or the organisation you represent, "Customer") and Parabolic Growth Pty Ltd (ACN 623 842 080, ABN 39 623 842 080), the operator of the AGOS platform ("AGOS", "we", "us").

By creating an account, connecting a brand, or using any part of the AGOS service, you agree to these Terms. If you do not agree, do not use the service.

You must be at least 18 years old and have authority to bind your organisation to enter into this agreement. Accounts are for business use only — AGOS is not a consumer product.

AGOS is an AI-assisted marketing operations platform. It connects to your e-commerce platforms (Shopify, Klaviyo, and others), generates marketing content using AI agents, routes that content through human approval queues, and — after human approval — publishes or sends it through connected platforms.

AGOS is in active development. Feature availability, agent capabilities, and integrations may change. We will communicate material changes affecting your use of the service with reasonable notice.

You are responsible for:

• Providing accurate brand information, product data, and compliance rules to AGOS agents. Garbage in, garbage out — misleading inputs will produce misleading outputs.
• Reviewing all AI-generated content before approving it for publication. AGOS generates drafts; you are responsible for what you publish.
• Ensuring your use of AGOS complies with the terms of service of every connected platform (Shopify, Klaviyo, Meta, etc.). AGOS integrates with those platforms on your behalf — it cannot accept responsibility for your violations of their policies.
• Maintaining the security of your AGOS account credentials. Notify us immediately if you suspect unauthorised access.
• Ensuring that any customer data you sync into AGOS (via Shopify or other integrations) was collected lawfully and that your use of it in AGOS is permitted under applicable privacy law.
• Complying with all applicable advertising, marketing, health claims, and consumer protection laws in the jurisdictions where your brand operates. AGOS's compliance agents provide automated checks against configurable rule packs, but these checks are an aid, not a substitute for your legal obligations.

You may not use AGOS to:

• Generate, store, or publish content that is unlawful, fraudulent, defamatory, or that infringes a third party's intellectual property rights
• Make unsubstantiated therapeutic claims about health products (including claims prohibited by TGA, FDA, EFSA, or MHRA regulations)
• Send unsolicited commercial communications (spam) through connected email or messaging platforms
• Circumvent or disable any human approval step built into the AGOS workflow for the purpose of automating customer-facing actions without review
• Reverse engineer, decompile, or attempt to extract the AGOS codebase, agent system prompts, or proprietary rule packs
• Resell, sublicense, or make the AGOS service available to third parties without our written consent
• Attempt to gain unauthorised access to another customer's workspace, data, or API credentials

We reserve the right to suspend accounts that violate these restrictions, with or without prior notice depending on severity.

You retain ownership of all brand content, customer data, and business information you bring into AGOS. Content generated by AGOS agents using your brand context belongs to you, subject to the terms of the underlying AI providers (currently Anthropic — see their usage policy).

The AGOS platform, including its software, agents, rule packs, and UI, belongs to Parabolic Growth Pty Ltd. These Terms do not grant you any rights in the platform beyond the right to use the service as described.

AGOS is offered on a subscription basis. Pricing and plan details are published at agos-app.com/pricing. Subscriptions are billed in advance (monthly or annually, depending on your plan).

During the current early-access phase, some accounts are on manually-arranged terms. When a subscription system is activated for your account, we will give you at least 30 days' notice before billing begins.

Refunds are handled on a case-by-case basis. Contact us within 14 days of any charge you believe was made in error.

AGOS is provided "as is" and "as available". We do not guarantee that the service will be error-free, uninterrupted, or that AI-generated content will be accurate, complete, or compliant with any particular regulatory standard.

To the maximum extent permitted by law, Parabolic Growth Pty Ltd's total liability to you for any claim arising from your use of AGOS (whether in contract, tort, or otherwise) is limited to the fees you paid to us in the three months preceding the event giving rise to the claim.

We are not liable for:

• Losses arising from AI-generated content you approved and published
• Regulatory fines, penalties, or enforcement actions resulting from your use of the service
• Loss of revenue, profit, data, or business opportunities
• Actions taken by connected third-party platforms (Shopify, Klaviyo, Meta, etc.) in response to content published through AGOS
• Indirect, incidental, or consequential damages of any kind

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded under applicable law.

By you: You may close your account at any time from Settings → Account. We will delete your workspace data within 30 days of closure, except for audit log entries we are required to retain.

By us: We may suspend or terminate your account if you materially breach these Terms or if maintaining your account creates legal, security, or reputational risk for AGOS or other customers. We will give reasonable notice where possible, except in cases involving security incidents or serious violations.

On termination, your right to use the service ends immediately. We will provide a JSON export of your brand data on request within 30 days of termination.

These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria for any dispute arising under these Terms.

Before initiating formal proceedings, we ask that you contact us at legal@agos-app.com to attempt to resolve the dispute informally. We will respond within 10 business days.

If you are located in the European Union, you may also refer disputes to your local supervisory authority or to the European Online Dispute Resolution platform where applicable.

We may update these Terms from time to time. Material changes will be notified by email to registered account holders at least 14 days before taking effect. Your continued use of the service after the effective date constitutes acceptance of the updated Terms.

The "Last updated" date at the top of this page reflects the current version. Previous versions are available on request.
